BIDDER TERMS AND CONDITIONS

1. Eligibility and Registration

Bidders must be at least 18 years old and legally capable of entering into a binding contract. GCA may require identity, address, payment, financial, or other information before approving or continuing bidding privileges.

Each Bidder is responsible for activity conducted through the Bidder's account and for maintaining the confidentiality of account credentials.

Registration does not create a right to bid. To the fullest extent permitted by applicable law, GCA may approve or reject any bidder or registration; require additional identification, references, deposits, payment verification, or financial information; establish or reduce bidding limits; or suspend or revoke bidding privileges at any time before, during, or after an auction. GCA may consider payment history, identity-verification results, suspected fraud, prior conduct, financial capacity, auction integrity, and other legitimate business considerations.

2. Auction-Specific Terms and Order of Precedence

Before participating in a particular auction, the Bidder must review and accept any additional terms displayed for that auction or Lot ("Auction-Specific Terms"). Those terms may address the Buyer's Premium, bidding increments, closing procedures, payment methods, shipping, reserves, minimum bids, or other auction-specific requirements.

If the Auction-Specific Terms conflict with these Bidder Terms, the Auction-Specific Terms control for that auction. If these Bidder Terms conflict with the Website Terms of Use and Platform Agreement concerning registration, bidding, payment, or participation in an auction, these Bidder Terms control. The Website Terms of Use and Platform Agreement otherwise governs use of GCA's website and platform.

3. Auction Status

Unless the applicable auction page expressly states otherwise, each GCA auction and each Lot is conducted WITHOUT RESERVE.

In an auction without reserve, the Lot is offered to the highest bona fide bidder and no seller minimum price or reserve applies. A Lot will be offered with reserve only when that status is expressly disclosed on the applicable auction page before bidding.

GCA may withdraw a Lot before bidding begins. After bidding begins on a Lot offered without reserve, GCA will not withdraw the Lot unless no bid is made within a reasonable time or withdrawal is otherwise permitted by applicable law.

GCA may reject an invalid, fraudulent, collusive, or prohibited bid and may address a material platform or catalog error to the extent permitted by applicable law.

4. Bids Are Purchase Commitments

A Bidder should review the Lot description, photographs, grading or authentication information, and applicable Auction-Specific Terms before bidding.

A winning bid creates an obligation to purchase the Lot and pay the full amount due.

Bids may not be withdrawn or cancelled except as required by applicable law or with GCA's approval. A Bidder who believes a bid was submitted because of an obvious input or system error must notify GCA promptly.

5. Online Bidding and Auction Records

GCA may use automatic, maximum-bid, proxy-bid, extended-bidding, staggered-closing, or similar online-auction features.

Unless the applicable Auction-Specific Terms expressly state otherwise, extended bidding applies automatically to each Lot as follows:

• If the auction platform records a valid bid during the final thirty (30) minutes before a Lot's posted closing time, that Lot's closing time will be extended by thirty (30) minutes.
• After the initial extension begins, any valid bid recorded when fifteen (15) minutes or less remain will extend the closing time so that fifteen (15) full minutes remain after that bid. Each later bid meeting the same condition triggers another fifteen-minute extension. An extension will not shorten an existing closing time.
• Extended bidding continues until fifteen (15) consecutive minutes pass without a valid bid. The auction platform's clock and records control, and a Lot is not closed until the platform displays it as closed or GCA otherwise announces the closing.

In the event of a tie, timing discrepancy, conflicting records, or bidding dispute, GCA may determine the successful bid based on the auction platform's records and applicable auction rules.

GCA does not guarantee uninterrupted access to Bidsquare, GCA's website, or any internet, telecommunications, software, hosting, or other system used in connection with an auction. GCA is not responsible for a Bidder's internet connection, device failure, failure to submit or transmit a bid in time, or any outage, delay, malfunction, or interruption outside GCA's reasonable control.

Before a sale is complete, or afterward only to the extent permitted by applicable law, GCA may extend, pause, reopen, reschedule, or cancel bidding for an affected Lot or auction when reasonably necessary because of a material platform failure, communications outage, bidding error, fraud concern, or other circumstance affecting the fairness or integrity of the auction. GCA's platform records and reasonable determination concerning the effect of any interruption will control, subject to the Auction-Specific Terms.

6. Seller and Affiliated-Party Participation

A Seller, Consignor, owner, or person acting on behalf of any of them may not bid on a Lot offered without reserve in which that person has an ownership or financial interest.

GCA members, managers, employees, contractors, affiliates, auctioneers, and related parties may consign or own property offered through GCA when appropriately disclosed, but they may not bid on that property.

GCA will not knowingly permit fictitious bidding, collusive bidding, or bidding intended solely to create a false appearance of market demand.

Any legally permitted seller-bidding right for a Lot expressly offered with reserve must be conspicuously disclosed before bidding; otherwise, seller bidding is prohibited.

7. Buyer's Premium

Unless the applicable auction page expressly states a different percentage before bidding begins, a Buyer's Premium equal to twenty percent (20%) of the successful bid or Hammer Price will be added to the Hammer Price.

The Buyer's Premium is part of the total purchase price owed by the Buyer and will be disclosed before bidding.

8. Payment

The winning Buyer must pay the complete invoice within three (3) calendar days after the invoice is sent to the email address associated with the Buyer's account or made available through the Buyer's account, unless the Auction-Specific Terms or GCA's written instructions provide a different deadline.

The invoice may include:

• The Hammer Price;
• The Buyer's Premium;
• Applicable sales or other taxes;
• Shipping, insurance, packing, signature, handling, and delivery charges properly allocated to the Buyer under the Auction-Specific Terms or these Bidder Terms; and
• Any other charge authorized by the governing terms and disclosed before the Buyer becomes bound to that charge.

Registration and Card Validation. GCA ordinarily requires a valid payment card as a condition of bidder registration, but GCA may waive or modify that requirement. When a payment card is provided, the Bidder authorizes GCA and its payment processor to validate the card and the Bidder's identity, including through a zero-dollar or temporary authorization. A temporary authorization is not payment of an invoice. Waiver of card validation does not waive the Bidder's payment obligations.

Alternative Payment Methods. The payment card is not the Buyer's exclusive payment method. The Buyer may pay by another method approved by GCA and identified on the invoice, provided GCA receives full payment in cleared funds before the automatic-charge deadline. GCA may require a bank wire or other cleared funds for a higher-value transaction or when reasonably necessary for fraud prevention.

Payment-Method Fees. The Buyer must arrange payment so GCA receives the full amount due without deduction. The Buyer is responsible for fees imposed by the Buyer's bank, card issuer, financial institution, payment provider, intermediary bank, correspondent bank, or other transmitting provider. Eligible credit-card transactions are subject to the three-percent (3%) administrative fee described in the Website Terms of Use and Platform Agreement. GCA may charge or pass through another incoming payment cost when the fee or calculation method is disclosed before the Buyer authorizes or initiates payment. Any deficiency remains immediately due.

Payment Method Final After Processing. Once GCA processes a payment, the Buyer may not require a reversal or refund merely to substitute another payment method. GCA may approve a written request in its discretion, require collected replacement funds before refunding, and charge a Payment-Method Change Processing Fee of three percent (3%) of the amount refunded for additional nonrefundable processing costs and administrative work. GCA will not recover the same internal cost twice. The fee may be deducted from the refund or required in advance. Card refunds will be issued to the original card unless applicable law or payment-card rules require otherwise.

Default Card Authorization. By registering, accepting these Bidder Terms, and placing a bid, the Buyer expressly authorizes GCA and its payment processor to initiate an unscheduled merchant-initiated charge to the valid payment card then on file for an unpaid invoice balance if GCA has not received full payment within three (3) calendar days after the invoice is sent.

The charge may include the Hammer Price, Buyer's Premium, applicable taxes, shipping, insurance, packing, signature, handling, delivery charges properly allocated to the Buyer, and any other authorized item shown on the invoice. GCA may reattempt a declined charge or process a partial authorization to the extent permitted by law and payment-card rules and will provide or make available a receipt for a completed charge.

The card authorization applies to amounts arising from bids already placed and may not be revoked as to those amounts. A Bidder may revoke card-on-file authorization for future auctions by giving GCA written notice before placing a future bid. A declined, expired, or disputed card transaction does not extend the payment deadline or relieve the Buyer of the obligation to pay.

GCA is not required to release or ship purchased property until payment has been received in full and cleared.

9. Failure to Pay

If a Buyer does not timely pay an invoice, GCA may, to the extent permitted by law:

• Cancel the sale;
• Suspend or terminate the Buyer's bidding privileges;
• Offer the Lot to another bidder;
• Return the Lot to the Seller or Consignor;
• Relist or resell the Lot;
• Recover any resale deficiency and reasonable storage, handling, shipping, insurance, resale, and collection costs;
• Recover the unpaid amount and actual, reasonable third-party costs caused by the default, including processor, bank, returned-payment, chargeback, collection, court, and recoverable attorneys' fees; and
• Recover a Payment-Reversal Processing Fee equal to three percent (3%) of the amount reversed, disputed, or charged back when the Buyer causes a payment reversal without a valid basis and the underlying amount remains lawfully due. This fee is a reasonable estimate of GCA's internal processing and administrative costs, not a penalty.

GCA will not recover the same internal cost twice. The Payment-Reversal Processing Fee does not apply if a final determination establishes that the charge was unauthorized or invalid, or GCA accepts the claim because of a breach by GCA or the Seller.

These remedies are cumulative and do not limit rights available to GCA or the Seller under applicable law.

If GCA uses a collection agency, attorney, arbitration, lawsuit, bankruptcy proceeding, or other enforcement process to collect an amount the Buyer failed to pay when due, the defaulting Buyer shall reimburse GCA for all reasonable enforcement expenses actually incurred, including collection-agency fees, court and arbitration costs, and reasonable attorneys' fees, including fees incurred before suit and in any trial, appeal, or bankruptcy proceeding, to the fullest extent permitted by applicable law.

10. Auction Finality and Limited Claims

The condition, grading, authentication, market-information, final-sale, and general claims provisions of GCA's Website Terms of Use and Platform Agreement apply to every auction purchase.

A claim that GCA materially misidentified a Lot or made a material cataloging error must be submitted to GCA in writing within seven (7) days after delivery. A good-faith claim concerning the authenticity of an item that was not sold in reliance upon an independent third-party grading or authentication service must be submitted in writing within thirty (30) days after delivery.

The item must remain in substantially the same condition in which it was delivered and may not be altered, removed from a third-party holder, regraded, restored, or otherwise materially changed while a claim is pending. If GCA determines that rescission is appropriate, the remedy may be limited to cancellation of the transaction and refund of amounts paid to GCA for the affected Lot.

11. Shipping and Delivery

Property will be shipped only after payment has cleared and all required verification is complete. GCA will arrange delivery and select the carrier, service level, packaging, insurance or shipment protection, signature requirements, and other delivery safeguards.

Unless the applicable auction page, Auction-Specific Terms, Lot description, invoice, or other accepted transaction record expressly states otherwise, the winning Buyer is responsible for GCA-approved packing, outbound shipping, insurance, signature, handling, and delivery charges. GCA may arrange delivery and collect those charges before shipment. GCA may pay, waive, reduce, or subsidize some or all of those charges for a particular auction, Lot, or transaction.

Before charging the Buyer, GCA will disclose the amount, a reasonable estimate, or the calculation method on a checkout page, invoice, shipping authorization, or other transaction record. A disclosed estimate or method authorizes the resulting actual charge and carrier adjustments calculated under that method. A material additional charge outside the disclosure will be shown before it is charged.

The Buyer is responsible for additional costs caused by the Buyer's delivery instructions, address or delivery changes, refusal, failed delivery, inaccurate information, redelivery, storage, or other circumstances attributable to the Buyer. Cost allocation does not determine title or risk of loss, which are governed by the Website Terms of Use and Platform Agreement and applicable transaction terms.

The Buyer must provide a complete and accurate delivery address. The Buyer may not redirect a shipment, change the delivery address, waive a required signature or other safeguard, or modify GCA's shipping instructions without GCA's prior written or electronic approval. If GCA approves a change, the Buyer bears the resulting costs, delay, and increased risk to the extent permitted by law.

Visible shipping damage or missing contents should be reported to GCA promptly after delivery so that GCA can preserve any available carrier or insurance claim.

International Buyers are responsible for determining whether the Property may lawfully be imported, providing required information and permits, completing customs requirements, and paying applicable duties, import taxes, VAT/GST, tariffs, brokerage charges, and other destination-country costs.

12. Website Terms, Electronic Acceptance, and General

GCA's Website Terms of Use and Platform Agreement, available under "Legal" in the footer of GCA's website, governs matters not addressed in these Bidder Terms, including taxes, title, payment disputes, disclaimers, limitation of liability, indemnification, arbitration, governing law, and waiver.

By checking the applicable box or otherwise electronically accepting these Bidder Terms, the Bidder confirms that the Bidder had an opportunity to review and retain them and agrees to be legally bound by them.

If you do not agree to these Bidder Terms, do not register to bid or place a bid.
